GE Transportation To Acquire Aircraft Parts Corporation

December 21, 2004

EVENDALE, OH -- GE Transportation - Aircraft Engines, through Unison Industries, a subsidiary of GE Engine Services, has signed a definitive agreement to purchase Aircraft Parts Corporation (APC). The transaction, terms of which were not disclosed, is pending necessary regulatory approval and is expected to be complete in the first quarter of 2005.

APC, a privately held company, manufactures and repairs aircraft electrical systems, including starter-generators and generator control units for the business/commuter jet, helicopter and military applications. Founded in 1960, APC has its headquarters in Long Island, New York and a service center in Wichita, Kansas.

"APC's aircraft electrical system products complement Unison's permanent magnet alternator product line," said Brad Mottier, president of Unison Industries. "The acquisition will allow us to further enhance our integrated product solutions to aircraft customers and bring new technology into our business. The companies share a strong foundation of technology, innovation, customer service and entrepreneurial spirit, which will be strengthened under the acquisition."

"The acquisition creates a multitude of benefits for both APC customers and its employees," said Eric Sandler, chief operating officer of APC. "This merger will give APC access to new technologies and additional resources for research and development. It will also allow us to expand our business to become a full-source electric power systems provider."
